Terms and Conditions

1. Definitions

  • Goods: All products supplied by the Company, including but not limited to hygiene products, chemicals, dispensers, and consumables.

  • Services: Any installation, maintenance, delivery, or related services provided by the Company.

  • Order: A request for Goods and/or Services accepted by the Company.


2. Quotations & Pricing

2.1 All quotations are valid for 30 (thirty) days from the date of issue unless stated otherwise.

2.2 Prices are quoted in South African Rand (ZAR) and exclude VAT unless expressly stated.

2.3 The Company reserves the right to adjust prices due to increases in supplier costs, exchange rates, fuel surcharges, or other factors beyond its control.


3. Orders & Acceptance

3.1 Orders may be placed in writing, electronically, or verbally and are subject to acceptance by the Company.

3.2 Once accepted, orders may not be cancelled or amended without written consent from the Company.

3.3 Special or custom orders are non-refundable unless otherwise agreed in writing.


4. Payment Terms

4.1 Payment terms are strictly net [7/14/30] days from the date of invoice, unless otherwise agreed in writing.

4.2 The Company reserves the right to request payment in advance for new clients or large orders.

4.3 Overdue accounts may attract interest at the maximum rate permitted by law.

4.4 The Company may suspend deliveries or services if payment terms are not met.


5. Delivery & Risk

5.1 Delivery dates are estimates only and not guaranteed.

5.2 Free delivery applies as follows unless otherwise agreed in writing:

  • Johannesburg: Orders with a minimum value of R1,500.00 delivered within a 50 km radius of the Company’s business address.

  • KwaZulu-Natal (KZN): A minimum order value of R3,000.00 applies for deliveries within 50km of Durban central.

  • Cape Town: Orders with a minimum value of R1,500.00 delivered within a 50 km radius of the Company’s business address.

 

5.3 Orders that do not meet the above criteria may attract a delivery charge, which will be communicated prior to dispatch.

5.4 Risk in the Goods passes to the Client upon delivery.


6. Ownership (Retention of Title)

6.1 Ownership of Goods remains with the Company until full payment has been received.

6.2 The Client may not resell, pledge, or dispose of Goods until ownership has passed.


7. Returns, Claims & Defects

7.1 All Goods must be inspected upon delivery.

7.2 Claims for damaged or incorrect Goods must be reported within 48 hours of delivery.

7.3 Returns are subject to approval and may attract a handling or restocking fee.

7.4 No returns will be accepted for opened chemicals or used hygiene products, unless defective.


8. Warranties & Product Use

8.1 The Company warrants that Goods supplied are fit for their intended purpose when used in accordance with manufacturer guidelines.

8.2 The Client is responsible for ensuring Goods are used correctly and safely.

8.3 The Company shall not be liable for damage arising from misuse, negligence, or failure to follow instructions.


9. Limitation of Liability

9.1 To the fullest extent permitted by law, the Company shall not be liable for indirect, consequential, or economic losses.

9.2 The Company’s liability shall not exceed the value of the Goods or Services supplied.


10. Force Majeure

The Company shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to strikes, supplier failures, natural disasters, or transport disruptions.


11. Confidentiality

Both parties agree to keep confidential any commercial or proprietary information disclosed during the course of business.


12. Compliance & Safety

12.1 The Company complies with relevant South African standards and regulations applicable to its products.

12.2 The Client agrees to comply with all applicable health, safety, and environmental regulations when using the Goods.


13. Governing Law & Jurisdiction

These T&Cs shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.


14. General

14.1 No waiver by the Company shall be effective unless in writing.

14.2 If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force.

14.3 These T&Cs constitute the entire agreement between the parties unless otherwise agreed in writing.
